The body through which holders of one issue take common decisions: agreeing to changed terms, waiving a right of claim, appointing a representative.

This is where scattered holders become a party to negotiation; individually none of them has any leverage over the issuer.
When the metric lies
A majority decision binds everyone. A small holder who did not vote receives the amended terms on the same footing as those who negotiated them.
