A preferred share gives priority in the payment of dividends but, as a rule, no vote. The company's charter usually fixes a minimum: a defined share of net profit or a specific sum per share. It is that clause of the charter, rather than the general dividend policy, that determines what the holder is entitled to expect.
Voting rights return to preferred shareholders automatically if a declared dividend goes unpaid. The mechanism is designed so that skipping a payment does not pass without consequence for the controlling shareholder, and it is the principal protection such a holder has.
